These Terms of Service ("Terms") govern your access to and use of Civup (the "Service"), operated by Civup ("we", "us", or "our"). By accessing the Service, creating an account, or otherwise using Civup, you agree to be bound by these Terms.

1. The Service

Civup is a multi-tenant software platform that enables operators to publish a directory, events calendar, and community for a city, region, or niche. Operators can host members, listings, events, content, and billing under their own brand and domain.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at hello@civup.com if you suspect unauthorized access.

3. Acceptable use

You agree not to use the Service to:

Violate any law or third-party right;
Upload content that is unlawful, infringing, defamatory, or harmful;
Send unsolicited bulk communications or spam;
Reverse engineer, scrape, or attempt to gain unauthorized access to any part of the Service;
Interfere with the operation of the Service or another tenant's data.

4. Your content

You retain ownership of content you submit to the Service ("Your Content"). You grant Civup a worldwide, non-exclusive, royalty-free license to host, store, and display Your Content solely as needed to operate the Service for you. You represent that you have the rights to share Your Content.

5. Subscriptions and billing

Paid plans are billed in advance on a recurring basis. Fees are non-refundable except where required by law. We may change pricing on prospective billing periods with reasonable notice. You may cancel at any time; cancellation takes effect at the end of the then-current billing period.

6. Termination

You may terminate your account at any time. We may suspend or terminate access if you breach these Terms or if we are required to do so by law. Upon termination, we will retain reasonable backups for a limited time, after which Your Content may be permanently deleted.

7. Intellectual property

Civup, the Civup logo, and all software, features, and documentation comprising the Service are owned by Civup or our licensors. These Terms grant no rights in our intellectual property other than the limited right to use the Service while these Terms remain in effect.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind. We do not warrant that the Service will be uninterrupted, error-free, or meet your requirements. AI-assisted outputs are probabilistic — review them before publishing.

9. Limitation of liability

To the fullest extent permitted by law, Civup will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the amounts you paid us in the twelve months preceding the claim.

10. Indemnification

You will indemnify and hold Civup harmless from any claim arising out of Your Content, your use of the Service in violation of these Terms, or your violation of any law or third-party right.

11. Governing law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict of laws principles. The exclusive venue for any dispute is the state and federal courts located in Mecklenburg County, North Carolina.

12. Changes to these Terms

We may update these Terms from time to time. The "Effective" date above will reflect the latest change. Continued use of the Service after an update constitutes acceptance of the revised Terms.
